Terms of Service

Welcome to GeoMatchHub (“we,” “our,” “us”). These Terms of Service (“Terms”) govern your access to and use of our website, services, and related materials (collectively, the “Services”). By accessing or using GeoMatchHub, you agree to these Terms. If you do not agree, please do not use our Services.

Overview of Our Services

GeoMatchHub provides three core services:

  • GeoMatch: A matchmaking and project management service connecting clients (“Clients”) seeking geospatial expertise with qualified GIS professionals (“Consultants”). GeoMatchHub facilitates introductions, contract coordination, invoicing, payments, and project oversight (including optional QA/QC).

  • GeoInsights: A free online resource offering educational articles, blogs, and guides related to GIS, location intelligence, and professional development.

  • GeoStrategize: A consulting service for businesses and organizations seeking to identify how GIS solutions can improve their operations and return on investment.

Eligibility

By using our Services, you represent that you:

  • Are at least 18 years old;

  • Have the legal authority to enter into binding agreements;

  • Will use the Services in compliance with these Terms and applicable laws.

Client and Consultant Relationships

When Clients and Consultants engage through GeoMatch, GeoMatchHub serves as an intermediary to facilitate the engagement.

  • Clients engage GeoMatchHub to identify, vet, and manage GIS professionals suitable for their project.

  • Consultants agree to provide their services as independent contractors, not as employees of GeoMatchHub or the Client.

  • GeoMatchHub manages contracts, payments, and project deliverables between both parties.

Independent Contractor Status:
Consultants are independent contractors and not employees or agents of GeoMatchHub. They are responsible for their own taxes, benefits, insurance, and business expenses.

Client Responsibilities:
Clients must provide clear project details, timelines, and deliverable expectations. Clients are responsible for timely communication and payment according to the agreed terms.

GIS Professional Submissions and Data Use

GIS professionals who submit their information to join the GeoMatchHub talent network agree that:

  • Their submitted materials (including resumes, portfolios, and skill summaries) will be used solely for vetting, internal review, and potential project placement.

  • GeoMatchHub will never share, post, sell, or publicly distribute a professional’s submitted materials (including resumes, portfolios, or personal information) without their explicit consent.

  • GeoMatchHub may retain professional profiles in its private database for ongoing matching and communication related to potential opportunities.

  • Professionals can request modification or deletion of their information at any time by contacting support@geomatchhub.com

We take privacy seriously and maintain administrative, technical, and physical safeguards to protect submitted materials from unauthorized access or misuse.

Payments and Fees

  • Billing: GeoMatchHub will invoice Clients based on agreed-upon project terms. Invoices may include a markup rate to cover administrative, project management, and QA/QC services.

  • Payments to Consultants: GeoMatchHub will issue payments to Consultants after receiving payment from the Client, in accordance with agreed timelines.

  • Late Payments: Late payments by Clients may result in project suspension, interest fees, or termination of services.

GeoMatchHub reserves the right to adjust rates, markup percentages, or billing schedules with reasonable notice.

Confidentiality and Data Handling

Both Clients and Consultants agree to maintain the confidentiality of all proprietary or sensitive information shared during a project.

GeoMatchHub will take reasonable measures to secure all personal and business data submitted through our site or intake forms.
We will never sell, rent, or share client or consultant information without consent, except as required by law.

Intellectual Property

Unless otherwise stated in a written agreement:

  • Deliverables created by a Consultant under a GeoMatch-managed project become the property of the Client upon full payment.

  • GeoMatchHub retains ownership of its own branding, templates, website content, and operational materials.

  • GeoInsights and GeoStrategize content is owned by GeoMatchHub and may not be reproduced without written permission.

Warranties and Disclaimers

All Services are provided “as is.”
GeoMatchHub makes no guarantees regarding:

  • The outcome or quality of GIS work completed by a Consultant;

  • The accuracy or completeness of GeoInsights articles;

  • Specific business outcomes resulting from GeoStrategize consulting.

While we carefully vet Consultants, GeoMatchHub is not liable for individual Consultant performance beyond the scope of the agreed management contract.

Limitation of Liability

To the maximum extent permitted by law, GeoMatchHub, its owners, and affiliates are not liable for:

  • Any indirect, incidental, or consequential damages.

  • Loss of profits, data, or business opportunities;

  • Errors or delays caused by third-party software, systems, or Consultants.

GeoMatchHub’s total liability for any claim shall not exceed the total amount paid by the Client for the relevant project.

Termination

Either party may terminate a Service Agreement with written notice if:

  • The other party breaches a material term and fails to remedy it within a reasonable period;

  • Payment obligations are not met;

  • The project scope or timeline is no longer feasible.

Upon termination, all outstanding payments for completed work become due immediately.

Updates to These Terms

We may update these Terms periodically to reflect business changes or legal requirements. The latest version will always be available on our website, and continued use of our Services after updates constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by the laws of the State of Virginia, without regard to conflict-of-law principles.
Any disputes will be handled in the appropriate courts located in Reston, Virginia.
